Terms of Service
1. The Service
These Terms of Service (the "Terms") set out the conditions for using "ikkatsup" (the "Service"), which is provided by efoo Inc. (the "Operator").
The Service schedules finished short videos and posts them at a specified time to multiple accounts on YouTube, TikTok, and Instagram.
Multiple organizations can use the Service. Each organization has its own independent workspace. Each organization connects its own social media accounts to its own workspace. The contents of one organization's workspace are not shown to other organizations.
Definitions
- Organization
- A company or other entity that has been invited by the Operator and has a workspace in the Service
- Participant
- A person who joins an organization's workspace and operates it. Admins and Members are both Participants
- Admin
- A Participant who is an administrator of the Organization, and whose role allows connecting and disconnecting Social Media Accounts and inviting and removing Participants
- Member
- A Participant who is not an Admin
- User
- An Organization and its Participants
- Connected Platform
- Each of YouTube, TikTok, and Instagram, to which the Service posts, and the company that provides each of them
- Social Media Account
- An account or channel on a Connected Platform that an Organization has connected to the Service
- Content
- The videos, text, and cover images that a User registers in the Service
- Reservation
- For one video, the Social Media Accounts to post to and the time to publish
- Confirmation
- The operation that decides that a Reservation will be sent to the Connected Platforms at the specified time
Reservations and Confirmation
Videos and text are registered in the admin console. They can also be registered with a dedicated command-line tool. In the admin console, Users upload videos, edit Reservations before they are confirmed, review and confirm Reservations, check results, connect and disconnect Social Media Accounts, and manage Participants.
Until a Reservation is confirmed, nothing is sent to the Connected Platforms. Only confirmed content is sent to the Connected Platforms. The point at which it is sent differs depending on each Connected Platform's method. A Reservation can be canceled before it is published.
The Service does not write or suggest the text of Content. The User decides the text.
The Service does not delete or edit posts that have been published. Users do this on the Connected Platform.
Connecting and Disconnecting
An Admin connects a Social Media Account to the Service through the Connected Platform's consent screen. An Admin can disconnect it at any time.
When a connection is disconnected, Reservations that have not yet been published (drafts, scheduled, running, and those handed to a Connected Platform but not yet published) and that post to that account are canceled and are not posted by ikkatsup. For YouTube, the Operator deletes the video that was uploaded (an unlisted or private Reservation is not uploaded until its scheduled publication time, so before that time there is no video to delete). For TikTok and Instagram, the Operator cannot cancel a Reservation that was handed to the Connected Platform, so it may remain there; please cancel it on the Connected Platform's own screen. The Operator revokes the stored authorization credentials (tokens) at the Connected Platform (except for Instagram) and deletes that account's data. What is deleted is described in the Privacy Policy. Posts that have already been published remain on the Connected Platform.
2. Accounts and Participants
- The Service is available to Organizations that the Operator has invited. The Operator creates the Organization and invites its first Admin by email address. The Service has no screen for applying to use it.
- An Admin invites Participants by email address and specifies each role (Admin or Member). An Admin can remove Participants.
- An Admin can connect and disconnect Social Media Accounts, invite and remove Participants, upload videos, create, edit, confirm, and cancel Reservations, and check results.
- A Member can upload videos, create, edit, confirm, and cancel Reservations and check results. A Member cannot connect or disconnect Social Media Accounts, or invite or remove Participants.
- An Admin invites and removes Participants on behalf of the Organization. An Admin manages Participants so that they comply with the Terms, and makes only people who are authorized to post into Participants. When a person leaves the Organization, an Admin removes that person from the Participants.
- The Organization is responsible for operations that its Participants perform in the Service, including confirming Reservations.
- A Participant manages the email address used to log in at the Participant's own responsibility, and does not let anyone else use it.
- A Participant agrees to the Terms on the consent screen of the admin console, by reviewing the Terms and the Privacy Policy, checking the box that states agreement, and submitting the form. Until a Participant has agreed, the Participant cannot use the admin console or the command-line tool.
- Each Participant agrees individually. A Participant who belongs to more than one Organization needs to agree only once, and can then use the Service in all of those Organizations. The Operator records the Participant's email address, the time the Participant agreed, and the version of the Terms and the Privacy Policy that applied when the Participant agreed.
- When an Admin agrees on the consent screen, the Admin agrees as an individual and also represents that the Admin has the authority to agree to the Terms on behalf of the Organization.
3. User Responsibilities
Content
Users are responsible for the following.
- That the User has the right to register and publish the Content. Where the permission of a rights holder is required, that the User has obtained it.
- That the Content does not infringe the copyright, privacy, portrait rights, reputation, or other rights of others.
- That the Content does not violate any law or regulation.
- That, before confirming a Reservation, the User checks the Content, the Social Media Accounts to post to, and the time to publish.
The Operator has no obligation to review Content. The Operator also has no obligation to determine whether Content is lawful or complies with the terms of a Connected Platform.
Terms and Guidelines of Connected Platforms
Users comply with the terms, guidelines, and policies set by each Connected Platform they post to. Users do not register Content in the Service that violates them.
For a Reservation to post to TikTok, the person who posts checks, chooses, and saves the visibility, whether comments, duets, and stitches are allowed, and the commercial content disclosure on the post page of the admin console. These cannot be entered with the command-line tool. Users are responsible for the accuracy of what was confirmed.
Uploading to a video-sharing service
By using the Service, Users agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
When uploading a video to YouTube, the User certifies that the video complies with the YouTube Terms of Service, including the YouTube Community Guidelines. The User also certifies that the video does not violate the copyright or privacy rights of others.
Confirming a Reservation is treated as the operation by which the User gives this certification for the upload to YouTube that the Reservation contains.
The User accurately specifies whether a video is made for kids.
4. Prohibited Conduct
Users do not do any of the following in connection with the Service.
- Violating any law or regulation, or public order and morals
- Infringing the copyright, privacy, portrait rights, reputation, or other rights of others
- Violating the terms, guidelines, or policies of a Connected Platform
- Connecting to the Service a Social Media Account that the User has no authority to connect
- Impersonating another person, or posting content that deceives others
- Posting in bulk or by automated means, such as spam, that a Connected Platform prohibits
- Using the Service as an organization or person that the Operator has not invited
- Letting a third party that does not belong to the Organization use the Service
- Gaining unauthorized access to the Service, placing excessive load on it, or otherwise interfering with its operation
If a User violates the Terms and this causes damage to the Operator or a third party, the Organization to which that User belongs compensates for the damage.
5. Connected Third-Party Services
The Service posts to Users' Social Media Accounts through the mechanisms that YouTube, TikTok, and Instagram provide. The terms of each Connected Platform apply separately, between the User and that Connected Platform.
The Service is provided by the Operator. It is not provided, operated, guaranteed, or endorsed by any Connected Platform company.
The following arise from the decisions of the Connected Platform companies. The Operator cannot control them.
- Outages and suspensions of a Connected Platform
- Changes to and discontinuation of a Connected Platform's specifications, conditions, and posting limits
- The result of a Connected Platform's review of the Service, and any resulting limits on features
- Acceptance, rejection, or deletion of posts, and limits on visibility
- Suspension and restriction of Social Media Accounts and channels
Even if these cause a Reservation not to be posted, a post to be delayed, or a published post to be deleted, the Operator has no liability beyond what is set out in Disclaimers.
It can take time for a post to be processed by a Connected Platform and become viewable. How to disconnect is also described in the Privacy Policy.
6. Data
The information the Operator collects, and how it is used, stored, shared, and deleted, are described in the Privacy Policy.
The User owns the rights in the Content. The Operator does not acquire rights in the Content.
Users permit the Operator to store the Content, send it to the Connected Platforms, and display it in the admin console, to the extent necessary to provide the Service.
A request to delete information can be made by the method described in the section of the Privacy Policy that explains data deletion requests.
7. Disclaimers
- The Operator provides the Service as it is.
- The Operator does not guarantee that a post will be published at the reserved time, that a post will succeed, or that the Service will not be interrupted.
- The Operator is not liable for delays, failures, or deletion of posts, or suspension of accounts, that arise from Connected Third-Party Services.
- The Operator is not liable for disputes with third parties or Connected Platforms that arise from Content. The User resolves such disputes at the User's own responsibility.
- The Operator is not liable for damage caused by a User confirming a Reservation without checking the Content, the Social Media Accounts to post to, and the time to publish.
- The Operator's liability to a User for damages is limited to direct and ordinary damage that the User has actually suffered, except where the Operator acts intentionally or with gross negligence. The Operator is not liable for indirect damage, special damage, or lost profits.
8. Changes and Termination
Changes, Interruption, and Termination of the Service
The Operator may change the content of the Service. The Operator may temporarily interrupt the Service for maintenance, to respond to failures, or to respond to changes in the specifications of a Connected Platform.
The Operator may terminate the Service. When it does, the Operator will endeavor to notify Admins in advance.
Suspension of Use
If an Organization or a Participant violates the Terms, the Operator may suspend that Organization's use of the Service.
Changes to the Terms
The Operator may change the Terms. The revised Terms will be posted on this site and take effect on the revision date shown on the page.
When the Operator makes a change that alters the meaning of the Terms, the Operator asks Participants to agree again, on the consent screen, to the revised Terms and the Privacy Policy. Until a Participant has agreed again on the consent screen, the Participant cannot use the admin console or the command-line tool. For a change that does not alter the meaning of the Terms, such as correcting a typographical error, the Operator does not ask for agreement again.
9. Governing Law and Jurisdiction
The formation, validity, interpretation, and performance of the Terms are governed by the laws of Japan.
The Tokyo District Court is the exclusive agreed court of first instance for any dispute between the Operator and a User relating to the Service.
The Terms are published in Japanese and English. If the two versions differ, the Japanese version prevails.
